These Terms of Service ("Terms") govern your access to and use of NowPaid's website, applications, and related services (collectively, the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
NowPaid provides tools to help you manage invoices, clients, and communications, including optional automated or assisted reminders. We may modify, suspend, or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.
2. Accounts and security
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly of unauthorized use.
3. Your responsibilities
You agree that you will:
- Use the Service only in compliance with applicable laws and regulations;
- Obtain any required consents and honor opt-outs when you send or schedule emails to your clients or contacts, including marketing and transactional rules that apply in your jurisdiction (for example requirements around identification, frequency, and truthful subject lines);
- Not use the Service to send spam, phishing, malware, unlawful, defamatory, harassing, or deceptive content;
- Maintain accurate client and invoice data and respect confidentiality obligations you owe to third parties.
4. Your data and license to us
You retain ownership of data you submit. You grant NowPaid a worldwide, non-exclusive license to host, process, transmit, and display your data solely to provide and improve the Service, prevent abuse, and comply with law. You represent that you have all rights needed to grant this license.
5. AI-assisted features
Some features may use automated or AI-assisted systems to suggest or generate text. Output may be inaccurate or inappropriate for a particular situation. You are responsible for reviewing content before it is sent to third parties. NowPaid does not provide legal, tax, or financial advice.
6. Third-party services
The Service may integrate with or rely on third-party platforms (such as hosting, authentication, email delivery, or payment links). Your use of those services may be subject to their separate terms. We are not responsible for third-party services outside our reasonable control.
7. Fees
If we offer paid plans, fees, billing cycles, and taxes will be presented at purchase or in a separate order. Unless stated otherwise, fees are non-refundable except where required by law.
8. Intellectual property
NowPaid and its licensors own all rights in the Service, including software, branding, and documentation, excluding your data. You may not copy, modify, distribute, sell, or reverse engineer the Service except as expressly permitted by law or with our written consent.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT EMAILS WILL ALWAYS BE DELIVERED OR OPENED.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NowPaid OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Indemnity
You will defend, indemnify, and hold harmless NowPaid and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your data, your use of the Service, your violation of these Terms, or your violation of third-party rights.
12. Suspension and termination
We may suspend or terminate access to the Service if you materially breach these Terms, if we are required to do so by law, or to protect the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination (including ownership, disclaimers, limitations of liability, indemnity, and governing law).
13. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless mandatory consumer protection laws in your country of residence require otherwise. Courts in Delaware will have exclusive jurisdiction for disputes arising out of or relating to these Terms or the Service, subject to mandatory arbitration or venue rules that cannot be waived by contract in your jurisdiction.
14. Export and sanctions
You may not use the Service in violation of export control or sanctions laws. You represent that you are not prohibited from using the Service under applicable laws.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If a change is material, we will provide notice as required by law or a reasonable in-product notice. Continued use after the effective date constitutes acceptance of the updated Terms.
16. Miscellaneous
These Terms constitute the entire agreement between you and NowPaid regarding the Service and supersede prior agreements on the same subject. If any provision is invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
